By accessing or using https://www.codekine.com, (the “Site”), purchasing or downloading any CodeKine product, or using any related services (collectively, the “Services”), you agree to be bound by these Terms of Use (the “Terms”) and all applicable laws and regulations. If you do not agree, do not access the Site or use the Services. The materials contained in this website are protected by applicable copyright and trademark law.

2. Eligibility & Account Registration

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into contracts to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Licences for CodeKine Products

CodeKine Investment Management Script MixPanel

The CodeKine Investment Management Script MixPanel is licensed under the CodeKine Script MixPanel License (https://www.codekine.com/pricing/). By purchasing or downloading CodeKine Software, you agree to be bound by that license in addition to these Terms.

General Licence Restrictions

By visiting CodeKine’s website, you agree not to:

  • modify, distribute, sublicense, or sell the Products or any derivative works;

  • remove proprietary notices or trademarks;

  • attempt to reverse-engineer, decompile, or disassemble any Product code or software contained on CodeKine’s website;

  • make the Products available on a network where they could be used by multiple devices simultaneously;

  • use the Products in any unlawful, immoral, or defamatory manner;

  • remove any copyright or other proprietary notations from the materials; or

  • transfer the materials to another person or “mirror” the materials on any other server.

This license terminates automatically if you violate any of these restrictions or if you take any action considered a risk. Upon termination, you must destroy any downloaded materials in your possession.

4. Disclaimer

CodeKine makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

4.1 No Financial Services Disclaimer

CodeKine does not provide investment services, financial advisory services, brokerage services, asset management, fund management, or any activity involving the collection, custody, or administration of third-party funds. CodeKine does not offer, operate, manage, or promote investment platforms, financial products, securities, or profit-generating opportunities of any kind.

The term “investment” or similar terminology within our software refers solely to configurable system features and does not constitute financial advice, a financial product, a promise of returns, or any form of regulated activity.

Users are solely responsible for:

  • Ensuring legal compliance in their jurisdiction,

  • Obtaining licenses or authorizations required for handling funds or offering financial services,

  • Implementing any KYC/AML, disclosure, consumer protection, or tax obligations.

Any misuse of CodeKine products for guaranteed ROI schemes, unlicensed financial operations, Ponzi-like structures, securities offerings, or other unlawful conduct will result in immediate license termination without refund and may be reported to authorities.

4.2 No-Affiliation Disclaimer

Purchasing or using CodeKine products does not grant permission to represent CodeKine as a partner, affiliate, sponsor, or co-operator of any platform. Any representation implying endorsement, partnership, joint venture, or association with CodeKine is strictly prohibited and constitutes a material breach of these Terms.

5. Payment Processor and Merchant of Record (MoR)

CodeKine uses cryptocurrency payments via decentralized applications (DApps) as its payment processor and Merchant of Record (MoR) for the purchase of MixPanel licenses and other related services offered by CodeKine. Each MoR is responsible for processing payments, collecting applicable VAT/taxes, and providing support for the transactions of the products it manages. All transactions are encrypted and handled directly by the respective MoR; CodeKine does not collect or store your payment data. Prices are subject to change without prior notice and may be displayed in your local currency.

Our website leverages smart contract technology, which ensures order processing, payment security, fraud protection, and compliance with local tax regulations. This allows us to focus on delivering high-quality products while ensuring a seamless and secure transaction experience.

All transactions are encrypted and securely processed through the Blockchain. The smart contracts handling payments comply with international data security standards to safeguard your payment information.

Prices for products or services listed on our website may change without prior notice. CodeKine supports multiple currencies, and conversion fees may apply depending on your location and chosen payment method.

If you purchase a subscription service, you authorize CodeKine to automatically charge your selected payment method at the start of each billing period.

5. Refunds

Due to the digital nature of our products, we do not offer refunds as a matter of course.

However, we understand that each situation is unique, and customer satisfaction is our priority. In certain exceptional cases, we may consider offering a refund at our own discretion, assessed on a case-by-case basis. 6. Limitations

In no event shall CodeKine or its suppliers be liable for any damages (including, without limitation, damages for loss of data, or due to business interruption) arising out of the use or inability to use the materials on CodeKine’s website, even if CodeKine or a CodeKine authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

THERE IS NO WARRANTY FOR THE PROGRAM OR ANY OTHER SERVICE OR PRODUCT, AND THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF OUR SERVICES AND PRODUCTS IS WITH YOU. SHOULD ANY OF OUR SERVICES OR PRODUCTS PROVE DEFECTIVE, YOU ASSUME THE FULL COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.

WE MAKE NO REPRESENTATIONS OR WARRANTIES AS TO THE MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE OF OUR SERVICES OR PRODUCTS. YOU AGREE THAT WE ARE NOT LIABLE FOR ANY FAILURE OF THE GOODS, SERVICES, OR PRODUCTS OF OUR COMPANY OR A THIRD PARTY, INCLUDING BUT NOT LIMITED TO ANY FAILURES, DEFECTS, OR DISRUPTIONS—WHETHER TIMELY OR UNTIMELY, SCHEDULED OR UNSCHEDULED, INTENTIONAL OR UNINTENTIONAL—WHICH MAY TEMPORARILY OR PERMANENTLY PREVENT ACCESS TO OR USE OF OUR WEBSITE, SERVICES, OR PRODUCTS.

7. Sales, Licensing and SaaS Addendum (MixPanel)

1. Scope & Definitions
“Seller” = CodeKine. “Product” = MixPanel. “Buyer” = purchaser of license or subscription. “Services” = any SaaS hosting, updates, or support sold by Seller.

2. Sales / Licensing Model
2.1 SaaS & License Options. Product is offered as (a) sandbox/demo license (no real-money operations), (b) single-domain licensed package, or (c) SaaS subscription where license is tied to account. Buyer’s chosen option will be specified on order.

2.2 Domain Binding & Proof of Identity. Seller may require Buyer to provide domain(s) and purchaser contact info. For enterprise sales Seller may require corporate formation documents and authorized contact information prior to completing sale.

3. Buyer Obligations & Compliance
3.1 Legal Compliance. Buyer is solely responsible for ensuring that Buyer’s use of the Product and any services is lawful in Buyer’s jurisdiction(s). This includes obtaining any required financial or licensing authorizations, implementing KYC/AML procedures, consumer disclosures, and tax compliance.

3.2 Prohibited Uses. Buyer shall not use the Product to: collect funds from the public in regulated ways without licenses; operate a business that makes unrealistic, deceptive or guaranteed return promises; or facilitate activities subject to sanctions or export controls.

3.3 Sanctions & Export Controls. Buyer warrants it is not located in, under control of, or a resident of any country or person subject to trade sanctions or export restrictions that would make sale unlawful.

4. Data & Privacy
4.1 Seller Data Practices. Seller retains purchaser contact and billing data. Seller does not operate Buyer’s deployment and therefore does not hold or process Buyer’s end-user data except when explicitly agreed in writing (e.g., managed SaaS services).

4.2 Lawful Requests. Seller will respond to lawful requests for information and will cooperate with authorities as required by law. Seller will notify Buyer of any legally compelled disclosures where permitted.

5. Cooperation & Suspension
5.1 Cooperation. Seller will reasonably cooperate with Buyer, authorities, or other parties in lawful investigations where Seller is legally permitted to do so and where Buyer has complied with lawful process.

5.2 Suspension/Termination for Compliance Concerns. Seller may suspend or terminate access if there is reasonable suspicion of unlawful use, fraud, or misuse and may do so pending investigation or legal process.

6. Indemnity & Remedies
Buyer shall indemnify Seller against claims, losses and liabilities arising from Buyer’s breach of these Terms or from Buyer’s illicit use of the Product. Seller’s remedy for breach includes injunctive relief, license termination, and recovery of fees and damages.

7. Fees, Refunds & Chargebacks
Fees are non-refundable except as expressly provided. Seller may withhold refunds if Buyer’s use is unlawful or in breach. Buyer is responsible for chargebacks and indemnifies Seller for chargeback-related costs when chargebacks result from Buyer’s illegal use.

8. Warranties & Disclaimers
Seller warrants it has ownership or rights to license the Product. Except as expressly provided, Product is provided “AS IS” and Seller disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.

9. Limitation of Liability
Same limits as EULA (aggregate cap, exclusion of indirect damages, etc.).

10. Governing Law & Jurisdiction
As set forth in EULA. Consider specifying a jurisdiction favorable to CodeKine and recognizing enforcement of license revocation and injunctive relief.

11. Modifications
Seller may modify these Terms with prior notice to Buyer where required by law or to address material risks. Continued use after modification constitutes acceptance.

8. User Conduct & Prohibited Activities

When using the Services, you agree not to:

  1. violate any law, regulation, or third‑party right;
  2. transmit viruses, malware, or other harmful code;
  3. interfere with or disrupt the Site or servers;
  4. use automated systems (bots, scrapers) without written permission;
  5. engage in hate speech, defamatory accusations, or harassment toward CodeKine staff or other users;
  6. post or transmit content that is obscene, abusive, or that promotes discrimination or violence;
  7. behave in an uncivilised or unprofessional manner toward CodeKine personnel or the CodeKine community;
  8. falsely imply affiliation with CodeKine; or
  9. attempt to gain unauthorised access to any portion of the Services.
9. Abuse Reports & Cooperation with Authorities

CodeKine complies with ICANN, registrar policies, hosting provider rules, and applicable law enforcement requirements. If an abuse report is filed alleging unlawful use of CodeKine products, CodeKine may:

  • cooperate with registrars, hosting providers, and authorities,

  • provide licensing or purchase records when legally required,

  • suspend accounts or revoke licenses without refund.

Users are solely responsible for their compliance and legal obligations.

10. Accuracy of materials

The materials appearing on CodeKine’s website could include technical, typographical, or photographic errors. CodeKine does not warrant that any of the materials on its website are accurate, complete or current. CodeKine may make changes to the materials contained on its website at any time without notice. However CodeKine does not make any commitment to update the materials.

11. Links

The Site may contain links to third‑party websites or services that are not owned or controlled by CodeKine. CodeKine does not endorse or assume any responsibility for such third‑party content. Accessing third‑party sites is at your own risk.

12. Term and Termination

We may suspend or terminate your Account and rights to access our platform at any time and effective immediately, if you violate these Terms or for any reason at our sole discretion. Upon termination of your rights under these Terms, your Account and right to access and use our platform will terminate immediately. CodeKine will not have any liability whatsoever to you for any termination of your rights under these Terms, including for termination of your Account.

If your account is terminated, you will be prohibited from accessing or using any of our products, services, or websites. Additionally, applying for a new account is not permitted, as you will no longer be welcome in our community.

13. Export Compliance & Sanctions

You represent that you are not located in a country subject to EU, US, or UN sanctions and are not on any sanctions list. You must comply with all applicable export‑control laws when using or exporting Products.

14. Modifications

CodeKine may revise these terms of service for its website at any time without notice. Changes will be effective immediately upon posting on our website. By using this website you are agreeing to be bound by the current version of these terms of service.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States. You irrevocably agree that any dispute arising out of or relating to these Terms, the Site, or the Services shall be submitted to the exclusive jurisdiction of the state and federal courts located in Delaware, and you waive any objection to such forum on grounds of lack of personal jurisdiction, inconvenient forum, or otherwise.
