CodeKine Script MixPanel License Agreement
This CodeKine Script MixPanel License Agreement (the “Agreement”) is a legal agreement between you (“License”) and CodeKine SARL (“Licensor”) governing the use of CodeKine Script MixPanel (the “Product”). By accessing, downloading, or using the Product, you agree to be bound by the terms and conditions outlined in this Agreement. Please read this Agreement carefully.
1. Acceptance of Terms — ``Click-wrap`` execution
Acceptance. By (a) checking the “I accept” box (or similar control) before account registration, or by downloading or installing the Product, or (b) continuing to use the Product, Licensee acknowledges that it has read, understood and agrees to be bound by this Agreement. If Licensee does not agree, it must not download, install or use the Product.
2. Grant of License
Licensor grants License a non-exclusive, non-transferable, and revocable license to use the theme for both personal and commercial purposes, subject to the terms and conditions set forth herein.
3. Lifetime License
The Licensor offers several types of licenses for the MixPanel product, each of which grants the right to use MixPanel on a specific number of production (live) sites and their corresponding test environments. Details of the current license types, including the number of sites and pricing, are available on our website.
Custom licenses may also be created to accommodate users with higher usage requirements. The product is offered under a lifetime license, which allows you to use the license indefinitely and reinstall it as needed, but only for the activated domain.
5. License Usage Rules
Site Allocation
Each license includes a fixed number of Site Activations, whether for a live or staging site, as specified in the applicable plan. A Site Activation is consumed when the MixPanel product is activated on an installation identified by a unique URL (domain or subdomain). Activating the MixPanel product on a different installation or URL will consume an additional Site Activation.
Updates
All MixPanel product updates released by the Licensor during the Licensee’s active support period are included at no additional cost and may be applied to any Site Activation within the limits of the applicable plan.
Technical Support
The Licensor will provide technical support in accordance with its Support Policy during the Licensee’s active subscription period.
Inactive Support
Each license includes six (6) months of free support and free updates, starting from the date of purchase. Once the support period has expired, the Licensee will no longer be entitled to technical support or product updates. The support service may be renewed under the extended support plan, which will restore access to both technical support and free updates.
Lifetime License
The Licensee is granted a lifetime license for the MixPanel product, allowing indefinite use of the product on the activated domain or subdomain. Even after the expiration or non-renewal of the support service, the Licensee may continue to use the MixPanel license. However, no technical support or updates will be provided unless the support service is renewed.
Non-Transferable License
Our licensing system has been carefully designed to permanently bind each license to the domain (or subdomain) on which it is activated, consistent with modern licensing standards across the software industry. This design safeguards the integrity and security of the licensing process by preventing unauthorized transfers, deletions, or misuse.
Each license permits activation on up to one unique domain per license, providing limited flexibility while maintaining strict compliance with our security protocols. Once a license has been activated on a specific domain, it cannot be deleted, transferred, reassigned, or modified under any circumstances—even in cases where the Licensee claims accidental activation, hosting/domain loss, technical issues, or similar situations.
This policy is a deliberate measure to protect the proprietary API endpoints, preserve the integrity of data exchanges, and enforce the proper use of licensed software. By binding licenses to specific domains, we also reduce risks such as license abuse, unauthorized installations, and potential security vulnerabilities across the ecosystem.
The Licensee is solely responsible for managing the hosting and domains associated with their project and license. In the event of service interruptions, domain expiration, attacks, or data loss, the Licensee is responsible for restoring their environment under their own control.
Licenses cannot be reset or reassigned once activated. If the domain associated with a license becomes permanently unavailable, the Licensee must purchase a new MixPanel license through our website.

7. Support and Updates
During your active support period, you are entitled to product updates and support for the MixPanel product. Support includes assistance with questions related to the use of MixPanel’s features. Support does not cover modifications or customizations beyond the provided features. For more information, please refer to our Support Policy.
8. Intellectual Property
All rights, title, and interest in and to the CodeKine, including any modifications or customizations made by you, remain the exclusive property of Licensor (CodeKine SARL). You are granted a license to use the product MixPanel, but this does not transfer any ownership rights.
9. Warranty, Liability and Waiver of Claims
- “AS IS / AS AVAILABLE.” The Product—including, without limitation, MixPanel product, MixPanel product update services, license-management functions, MixPanel product-activation mechanisms, and all related server, network or API components—is supplied “as is” and “as available,” without any warranty of any kind. All statutory, implied or customary warranties (including any regarding merchantability, satisfactory quality, fitness for a particular purpose, quiet enjoyment and non-infringement) are, to the maximum extent permitted by applicable law, expressly disclaimed. Licensor does not warrant that the Product will operate uninterrupted, on time, error-free or free of viruses or other malicious code, but will use commercially reasonable efforts to maintain and secure it.
- Third-Party Hosting and Dependencies. The Parties acknowledge that hosting services and certain infrastructure required for the Product are provided by independent third parties. Service levels (including emergency response times, uptime guarantees, backup/recovery and data-centre resilience) are governed solely by those providers’ own terms and conditions. Licensor shall have no liability whatsoever for the acts, omissions or service-level failures of such third-party providers.
- Cap on Direct Damages. The Licensor’s aggregate liability for all claims arising out of or relating to the Product or this Agreement shall in no event exceed the total license fees actually paid by the Licensee to the Licensor for the specific MixPanel license that gave rise to the claim. This limitation of liability reflects the pricing of the license and is a fundamental basis of the bargain between the Licensor and the Licensee.
- Exclusion of Indirect Damages. In no circumstance will Licensor be liable for any lost profits, loss of revenue, business interruption, loss of data, cost of substitute goods or services, or any indirect, special, incidental, punitive or consequential losses of any kind, whether or not the possibility of such losses was advised or foreseeable.
- Waiver and Release of Claims. To the fullest extent permitted by law, Licensee irrevocably waives and releases any and all claims, causes of action and demands—whether known or unknown, anticipated or unanticipated—arising out of or related to the Product, or this Agreement, except for claims that cannot lawfully be waived under mandatory legislation.
10. License Termination
Automatic Termination. This licence automatically and without notice terminates on the earliest of (i) Licensee’s breach of any provision of this Agreement (“Misuse”). Upon termination, all rights granted hereunder immediately revert to Licensor, and any continued possession or use of the Product will constitute deliberate copyright infringement.
Post-Termination Obligations. Within 24 hours after termination Licensee must (a) permanently delete all copies of the Product (including modified or cached copies) from every server, environment or device under its control, and (b) provide Licensor with written certification of deletion upon request. No refund will be due.
Grounds for termination include, but are not limited to.
- Violating the terms of this license.
- Using the MixPanel product on more websites than permitted by your license.
- Fail to make any payment when due.
- Redistributing, reselling, licensing, sublicensing, outsourcing, transferring or sharing the MixPanel product or its components to any third party.
- Attempt to decipher, decompile, reverse engineer or otherwise discover the source code of the Product.
- Modify, adapt, or hack the Product or otherwise attempt to gain unauthorized access to the Product.
- Engaging in any activity that violates the Terms of Use
- Engaging in any activity that violates the Support Policy
- Using the product MixPanel to offensive, defamatory, or unethical materials.
- Using the MixPanel product to train AI models.
- Breach any applicable laws, rules or regulations.
In the event of termination due to a violation, you will not be entitled to any refund. We reserve the right to pursue legal action for any damages caused by such violations. Upon termination, you must cease all use of the Product and delete any copies in your possession.
11. Fraudulent Activity
Any fraudulent activity or unauthorized distribution of the Product by the Licensee, whether intentional or unintentional, shall result in the Licensee being held liable for all damages incurred by the Licensor. Additionally, the Licensee shall be subject to a fine as compensation for the breach of this Agreement and any resulting legal actions taken by the Licensor.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of US, without regard to its conflict of law principles.
13. Modifications to Agreement
We reserve the right to modify or update this Agreement at any time. Such modifications will be effective immediately upon posting the updated Agreement on our website. It is the responsibility of the Licensee to review this Agreement periodically for changes. Continued use of the Product after any modifications shall constitute your consent to such modifications.
14. Severability; Entire Agreement; Waiver
in full force. This Agreement (including the CodeKine Terms of Use and Support Policy incorporated by reference) constitutes the entire agreement between the parties concerning the Product and supersedes all prior discussions. No waiver of any breach will be deemed a waiver of any other breach.
By purchasing, downloading, or using the Product, Licensee agrees to comply with and be bound by this Agreement. If you do not agree with these terms, you are not authorized to use the Product.
16. Related Policies; Incorporation by Reference
(a) Incorporated Documents. The following documents (collectively, “Related Policies”) are hereby incorporated into and made part of this Agreement with the same force and effect as if fully set out in it:
- Terms of Use.
- Privacy Policy.
- Legal.
- Support Policy.
(b) Acceptance. By accepting or continuing to use the Product, Licensee confirms it has read, understood and agrees to be bound by each Related Policy.
(c) Order of Precedence. In the event of any direct conflict between this Agreement and a Related Policy, the terms of this Agreement shall control unless a Related Policy expressly states otherwise with reference to the relevant clause of this Agreement.
